Definitions:

SemiAccurate is a division of Stone Arch Networking Services, Inc. Copyright © 2012 Stone Arch Networking Services, Inc, all rights reserved. “This site”, “the website”, “SemiAccurate.com”, and “S|A” all may be used in place of SemiAccurate or Stone Arch Networking Services, Inc.

User or reader is any person who accesses the site, be it for reading or for commenting, there is no distinction. Subscriber is a sub-class of user or reader that has registered and/or paid for services.

License:

All users of SemiAccurate are granted use of the site by the Terms of Service (ToS). The ToS is optional, but only it grants you the right to use SemiAccurate. If you do not agree to the ToS, you do not have any right to use the services SemiAccurate offers. You may discontinue your agreement at any time without notifying SemiAccurate, but this will also terminate your license to use all SemiAccurate services. Should this license, ToS, or anything contained herein be unenforceable in your jurisdiction, you may not use the services provided by SemiAccurate.

Services Offered:

SemiAccurate provides access to SemiAccurate.com, and related sub-sites with several levels of service. Some content is open to the public without cost, other content, usually analysis or breaking news,  is offered to the user for a fee. What content is offered, and under what level is the sole discretion of SemiAccurate and may change without notice. Some content that is initially offered for a fee, may be released later for no cost, other content may not.

Subscriptions to SemiAccurate are available at three levels, Professional and Student in addition to an Open User category. Professional and Student all require accounts to access content, and require payments. Users of the open content do not require an account, but users must still agree to be governed by the Terms of Service or discontinue use.

SemiAccurate provides news about the semiconductor industry, computer industry, and related topics that we feel are appropriate. Coverage of topics and events is determined by our writers, editors, and other contributors, and is done at their sole discretion.  News leads should be provided to editor at semiaccurate dot com. We are not perfect, nor do we claim to get everything right, but all content on SemiAccurate is believed to be true and accurate by the writer at the time of publication.

SemiAccurate offers any company, individual, or directly affected party the right to make a reply to any story. This is done at our discretion, and we reserve the right to modify, or rescind this, where and when appropriate.

SemiAccurate will attempt to mark any changes made after initial publication in a clear and direct way. Minor errors such as spelling corrections and related changes may not be called out, and mistakes in publication are not covered by this policy. This includes, but is not limited to, premature publication of drafts and other human and technical errors.

Subscriptions to SemiAccurate are exclusively for the individual or organization that subscribes, and may not be shared with others. Reproduction in whole or in part in any form or medium without express written permission of Stone Arch Networking, Inc. is prohibited. Commercial use of our news without credit is a violation of our ToS.   A single subscription only authorizes the subscriber to one simultaneous login, and multiple uses of the same account are considered a violation of the terms of service. Accounts that are not a single subscription may be covered by different terms.  Please contact subscriptions at semiaccurate dot com for a multi-seat license for your business.

Violations:

Violations of the ToS may result in loss of rights to SemiAccurate, including the loss of any remaining subscription without refund. SemiAccurate may warn subscribers about a potential loss before taking action, but this is at our sole discretion. Termination of a subscription may be executed without warning.  SemiAccurate is not obligated to provide any details on why any account was terminated but will do so at their discretion.

Content Rights:

The rights to any content contained on SemiAccurate are limited to the individual subscriber and may not be reproduced.  All content that appears in SemiAccurate remains the copyright of the author or contributor. There is no transfer of IP to the user or subscriber, period.

Any content provided on SemiAccurate is to the best of our ability true and correct. It is provided as is, without warranty, and the user agrees to indemnify SemiAccurate from any results of it’s use. Any use of the information provided is at the reader’s discretion, and SemiAccurate shall not be held responsible for any actions taken upon it. We do our best to verify everything, you should too. Really, especially if money is involved.

User Information:

Any information asked for by the site is for the sole use of SemiAccurate and, other than that necessary to provide you with the services we offer. We will not release, sell, or give out your information other than to subcontractors such as credit card processing agents or others required to provide you with services. Some information may be published in aggregate such as polls, maps of readership, or other statistics, but no individual or company identification will be released without your permission. Any exceptions to this will be clearly marked at the time of collection.

If you do not provide us with accurate and current information we reserve the right to terminate your account for violating our ToS.  We require a current email address on file so we can reach our users if there is a legal issue of any kind, for example, our credit card processor’s security is hacked.

SemiAccurate may periodically ask for updates to information collected to keep our databases current. We will do our best to keep any information collected private and secure, and do not keep any financial information on our servers. SemiAccurate will not be held liable for any losses resulting from information given to us. We take our privacy seriously, and will do the same with yours.

User Submitted Content:

Any user-submitted content remains the copyright of the user. By posting, the user agrees to allow SemiAccurate, and all successors, unlimited free use of that content in relation to SemiAccurate and successor entities.

By submitting content, the user certifies that they own the copyright to the content or have permission under the applicable laws to submit that content, and it’s nature does not violate any laws governing SemiAccurate, or the user. Any submitted content that SemiAccurate considers unlawful may be edited at SemiAccurate’s discretion for any reason without notice to the user.

Content that is, but not limited to, deceptive, pornographic, advertisment, incites violence or hatred towards others, knowingly incorrect, contains code that harms others (generically defined as malware or viruses), or violates the privacy of others is strictly forbidden. Users posting on behalf of an individual, company, organization, or other entity, either as part of their employment or not, must disclose their affiliation along with that post. Users posting their own opinion are encouraged to disclose any affiliations, but it is not required.

Service:

SemiAccurate will endeavor to keep the site and any other properties up, available, and functioning correctly. We will try to rectify any problem with the site, service, or content as quickly as we can. Problems do happen. Outages do happen. Please let us know if you see any so we can fix them.

Warranty and Disclosures:

This material is intended for use by our subscribers only. The material provided is based on current information that we consider reliable and have verified to the best of our ability. We do not represent it as accurate or complete, and it should not be relied on as such. It is based on the best available information at the date and time of publication from our sources, research, and analysis.

Our articles are meant to be about the technology in question, not an offer to sell or the solicitation of an offer to buy any security in any jurisdiction, we do not provide consulting on stocks or investments. It does not constitute a personal recommendation either.  The owners of Stone Arch Networking, Inc. own no publicly traded stock.  Authors are required to disclose conflicts of interest, employment status as well as any stock ownership outside of a 401K or other retirement fund provided through employment separate from Stone Arch Networking, Inc.

All publications are disseminated and available to all subscribers simultaneously, depending upon the subscriber level, and are available to all customers equally. No part of this material or any article may be (i) copied, photocopied or duplicated in any form by any means or (ii) redistributed without the prior written consent of Stone Arch Networking, Inc.

E-mail and web communications may contain viruses or other defects, and Stone Arch Networking, Inc. does not accept liability for any such virus or defect, nor do we warrant that e-mail or web communications are virus or defect free. We shall endeavor to keep SemiAccurate.com and all other official forms of communication free from any unintended or unwanted items, and attempt to rectify any problems promptly

Cancellations and Refunds:

We do not offer refunds for services rendered.  However, you may cancel at any time. You will not be charged for the next billing cycle at the point that you cancel provided it is before the automatic credit card processing system begins running your account for the month. Cancellations are provided by logging into your account and choosing cancel.

Revisions:

These Terms of Service may be updated at any time. If they are updated, they will be posted on SemiAccurate. If you do not wish to be bound by the new ToS, you may agree to be bound by the old ToS by notifying SemiAccurate by writing or email, and this will take effect until such time as you renew your membership or one year passes, whichever is sooner.
